Welcome to MobAI Inc. ("MobAI," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the MoonShort platform, including our website, mobile applications, APIs, and all related services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
You must be at least 13 years of age (or the minimum age required in your jurisdiction) to use the Services. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. By using the Services, you represent and warrant that you meet these eligibility requirements.
To access certain features, you may be required to create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal, non-commercial purposes. You agree not to:
The Services may allow you to create, submit, post, or share content, including but not limited to story branches, remix forks, character configurations, screenshots, and chat messages ("User Content"). You retain ownership of your User Content, but by submitting it to the Services, you grant MobAI a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, and display your User Content in connection with operating and improving the Services.
You represent and warrant that you own or have the necessary rights to submit your User Content and that it does not infringe upon the intellectual property rights or other rights of any third party.
We reserve the right, but are not obligated, to review, monitor, or remove User Content at our sole discretion, including content that violates these Terms or that we find objectionable.
All rights, title, and interest in and to the Services — including but not limited to software, algorithms, AI models, visual designs, trademarks, logos, storylines, game mechanics, and all other intellectual property — are and shall remain the exclusive property of MobAI and its licensors. Nothing in these Terms grants you any right, title, or interest in the Services except for the limited license expressly set forth herein.
The MobAI name, MoonShort name, and associated logos are trademarks of MobAI Inc. You may not use these marks without our prior written permission.
The Services may offer virtual currency, items, or other digital goods ("Virtual Items") for purchase or as earned rewards. Virtual Items have no real-world monetary value and cannot be exchanged for cash or cash equivalents. All purchases of Virtual Items are final and non-refundable except as required by applicable law. We reserve the right to manage, regulate, modify, or remove Virtual Items at our discretion.
Portions of the content available through the Services are generated, in whole or in part, by artificial intelligence systems. While we strive for quality, AI-generated content may contain errors, inconsistencies, or unexpected outputs. MobAI does not guarantee the accuracy, completeness, or suitability of AI-generated content. You use such content at your own discretion and risk.
The Services may contain links to third-party websites, services, or content that are not owned or controlled by MobAI. We are not responsible for and do not endorse any third-party content, privacy practices, or terms of service. Your interactions with third-party services are solely between you and the third party.
Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices regarding the collection, use, and disclosure of your personal information.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. MOBAI DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MOBAI, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF MOBAI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL MOBAI'S AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO MOBAI IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
You agree to indemnify, defend, and hold harmless MobAI, its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the Services; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of any third party.
We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by posting the updated Terms on the Services and updating the "Effective Date" above. Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Services.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in the State of Delaware, and you consent to the personal jurisdiction of such courts.
If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. These Terms, together with our Privacy Policy, constitute the entire agreement between you and MobAI regarding the Services and supersede all prior agreements and understandings.
